Terms of Service

These Terms of Service ("Terms", "Agreement") constitute a legally binding contract between you ("Customer", "you", "your") and CSPAutomation Inc., a corporation registered in the Province of Alberta, Canada ("CSPAutomation", "Company", "we", "us", "our"), governing your access to and use of the LiteFlows platform and all related services (collectively, the "Service"). LiteFlows is a subsidiary product of CSPAutomation Inc.

BY ACCESSING, REGISTERING FOR, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE SERVICE.

LiteFlows is a fully customizable, multi-tenant project management and intelligent collaboration platform. The Service provides, without limitation:

LiteFlows serves organizations of all sizes across the globe, from startups to enterprise customers, with deployments customizable to meet specific organizational and regulatory requirements.

3. Subscription Plans & Billing

3.2 Billing & Payment

Fees for paid Subscription Plans are due in advance according to the billing cycle selected (monthly or yearly). All fees are non-refundable except as expressly stated herein. CSPAutomation reserves the right to modify pricing upon 30 days' written notice. Invoices are made available through the Service's billing management interface.

3.3 Overdue Payments

If payment is not received within 15 days of the due date, CSPAutomation reserves the right to suspend or deactivate the Organization until payment is received. Reactivation is at CSPAutomation's sole discretion.

4. User Accounts & Security

You are solely and exclusively responsible for:

CSPAutomation shall not be liable for any loss, damage, or unauthorized access resulting from the Customer's failure to safeguard account credentials or implement adequate internal security controls.

You agree not to use the Service to:

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.

6. Intellectual Property

6.1 CSPAutomation Property

The Service, including but not limited to its design, source code, algorithms, AI models, user interface, documentation, branding, trademarks, and all related intellectual property, is and remains the exclusive property of CSPAutomation Inc. and is protected by Canadian and international intellectual property laws. No license or right is granted except as expressly set forth in these Terms.

6.2 Customer Data Ownership

The Customer retains all ownership rights in and to Customer Data. By using the Service, the Customer grants CSPAutomation a limited, non-exclusive, royalty-free license to host, store, process, display, and transmit Customer Data solely for the purpose of operating and providing the Service. This license terminates upon deletion of Customer Data or termination of the Customer's account.

6.3 Feedback

Any feedback, suggestions, or ideas provided by the Customer regarding the Service may be used by CSPAutomation without restriction, compensation, or attribution.

7. Data Residency & Infrastructure

LiteFlows is designed for global use. Data residency is fully customizable based on your organization's governance, compliance, and regulatory requirements. Customers may designate their preferred data hosting region during onboarding or at any time through written agreement with CSPAutomation. CSPAutomation works with enterprise-grade cloud infrastructure providers to ensure data is stored and processed in the designated region. Specific data residency configurations, service level agreements, and compliance certifications are available upon request and may be subject to separate written agreements.

8. Security

CSPAutomation implements industry-standard security measures within the Service, including but not limited to encryption in transit (TLS 1.2+), encryption at rest, strict multi-tenant data isolation, role-based access controls, and automated backup procedures. However:

THE CUSTOMER ACKNOWLEDGES AND AGREES THAT SECURITY OF CUSTOMER DATA IS A SHARED RESPONSIBILITY. THE CUSTOMER IS SOLELY RESPONSIBLE FOR:

CSPAutomation provides built-in security features and automated backup capabilities as part of the Service but makes no guarantee that such measures will prevent all security incidents, data breaches, or data loss. CSPAutomation shall not be liable for any security incident, data breach, or data loss arising from the Customer's failure to implement adequate security practices or the Customer's misconfiguration of the Service.

9. Data Retention & Deletion

9.1 Default Retention

Upon completion, archival, or closure of a project within the Service, Customer Data associated with that project will be retained for a default period of thirty (30) days from the date of completion or archival. After this retention period, Customer Data may be permanently deleted without further notice.

9.2 Extended Retention

Customers requiring retention beyond the default 30-day period must execute a separate written agreement with CSPAutomation specifying the extended retention term and any associated fees.

9.3 Organization Deletion

Upon deletion of an Organization (whether initiated by the Customer, the Platform Owner, or through automated deactivation), ALL Customer Data associated with that Organization — including but not limited to projects, tasks, documents, files, messages, user records, and configuration settings — will be permanently and irreversibly deleted. CSPAutomation does not maintain, archive, or retain any Customer Data beyond the agreed retention period. Deleted data cannot be recovered under any circumstances.

9.4 Account Termination

Upon termination of a Customer's account for any reason, CSPAutomation will delete all associated Customer Data within 30 days of the termination date, unless a longer retention period has been agreed in writing or is required by applicable law.

9.5 Customer Responsibility

The Customer is solely responsible for exporting, backing up, or otherwise preserving any Customer Data prior to project completion, Organization deletion, or account termination. CSPAutomation shall not be liable for the loss of any Customer Data that the Customer failed to export or back up prior to deletion.

10. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. CSPAUTOMATION DOES NOT WARRANT THAT:

AI-generated content, reports, summaries, and analysis provided by the Service are provided for informational and productivity purposes only and should not be relied upon as the sole basis for business decisions. The Customer is responsible for verifying the accuracy and suitability of all AI-generated outputs.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  1. CSPAutomation Inc. and LiteFlows shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings, arising out of or in connection with the use of or inability to use the Service, regardless of the cause of action, theory of liability, or whether such damages were foreseeable.
  2. CSPAutomation's total aggregate liability to the Customer for all claims arising out of or related to these Terms or the Service shall not exceed the total fees actually paid by the Customer to CSPAutomation during the twelve (12) months immediately preceding the event giving rise to the claim.
  3. CSPAutomation shall not be liable for any loss, damage, or harm resulting from: (a) the Customer's failure to implement adequate security, backup, or access control measures; (b) unauthorized access resulting from compromised Customer credentials; (c) the Customer's violation of these Terms or applicable law; (d) force majeure events; (e) third-party services, integrations, or software used in conjunction with the Service; (f) decisions made based on AI-generated content or analysis; or (g) deletion of Customer Data in accordance with these Terms.

THE FOREGOING LIMITATIONS APPLY EVEN IF CSPAUTOMATION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. Indemnification

The Customer agrees to indemnify, defend, and hold harmless CSPAutomation Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) the Customer's use of the Service; (b) the Customer's violation of these Terms; (c) the Customer's violation of any applicable law or regulation; (d) Customer Data or any content uploaded or created by the Customer; or (e) any third-party claim related to the Customer's use of the Service.

13. Termination

13.1 Termination by CSPAutomation

CSPAutomation may suspend or terminate the Customer's access to the Service at any time, with or without cause and with or without notice, including but not limited to: violation of these Terms, non-payment of fees, legal or regulatory requirements, or at CSPAutomation's sole discretion.

13.2 Termination by Customer

The Customer may terminate their account at any time by contacting CSPAutomation. Termination does not entitle the Customer to a refund of any prepaid fees.

13.3 Effect of Termination

Upon termination, the Customer's right to access and use the Service ceases immediately. Data retention and deletion shall be governed by Section 9 of these Terms. Sections that by their nature should survive termination (including Sections 6, 10, 11, 12, and 14) shall survive.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes, claims, or proceedings arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Calgary, Alberta, Canada. The Customer irrevocably submits to the jurisdiction of such courts and waives any objection to venue.

15. Force Majeure

CSPAutomation shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, pandemic, power outages, internet disruptions, cyberattacks, or failures of third-party service providers.

16. Modifications to Terms

CSPAutomation reserves the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on the Service with an updated effective date and, where practicable, by email notification. The Customer's continued use of the Service after the effective date of any modification constitutes acceptance of the revised Terms. If the Customer does not agree to the revised Terms, the Customer must discontinue use of the Service.

17. Severability & Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The failure of CSPAutomation to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18. Entire Agreement

These Terms, together with the Privacy Policy and any separate written agreements executed between the Customer and CSPAutomation, constitute the entire agreement between the parties regarding the Service and supersede all prior agreements, understandings, and communications, whether oral or written.
